その日本電産のM&A担当取締役として、買収会社の再建にあたった川勝宣昭氏の著書「日本電産 永守重信 社長からのファクス42枚」を読みました。
営業マンが、夜、会社に連絡すれば、設計や工場は必ず残っていて、営業と一体で動く体制ができている。したがって、工場・開発はその夜のうちに見積もり作業をスタートさせます。
そして営業マンは、翌日の午後には見積書を持って顧客を再訪。これには相手がびっくりします。
お試し見積もりで要求したかもしれないお客様側も、「せっかくだから、ではひとつ検討してみるか」となるでしょう。
現在は残業ゼロを目指している日本電産ですが、数年前にはこのような時代もあったのですね。これは変節というより、日本電産の柔軟な社風を示しているというべきで、著者は残業ゼロ宣言について、まえがきで以下のように述べています。「これは、『これからの社会に求められる働き方にいち早く対応していく』という宣言であり、日本電産が日々進化し続けていることがお分かりいただけると思います。」
経費削減に手をつけながら、次に取りかかる大物のコストダウンは、購買コストです。
購買コストとは、会社が外部から購入する材料費、外注費を指します。これを日本電産では一括りに「材外費」と呼んでいます。
この削減目標（材外費比率）も非常に高いレベルで、目標値は「売価の50％以下」でした。
少し気になったのは、買収会社の再建に際してのコストダウンについての部分です。もちろん、事務用品費、水道光熱費、運送物流費、飲食交際費などの経費削減と併せて購買コストの削減に着手するようですので、決して安易に材料、部品メーカーに負担を移転しているわけではありません。
しかし、本来、買収会社の再建という購買コスト削減の理由は、材料、部品メーカーには関係のない話で、いったん会社間の契約で決まった購買価格を一方的な理由で切り下げられるのは迷惑な話でしょう。とはいえ、有名企業の傘下に入った会社の値下げ交渉を袖にすれば、どのような結果が待っているかはメーカー自身が良く分かっているため、交渉には応じざるを得ないのが現実です。
この値下げ交渉で私たちが気をつけたのは、値下げに協力してくれた材料、部品メーカーには、翌期の発注は値下げ率より多く発注することでした。
たとえば、10％下げてくれたら15％増量で発注するということです。われわれは部品単価引き下げをエンジョイし、材料、部品メーカーには、面積で売上増加をエンジョイしてもらうわけです。
少なくとも著者が関与した買収企業においては、上記のルールが守られていたようですので、値下げ交渉を飲まざるを得なかった材料、部品メーカーにとってもデメリットだけではなかったようです。ただ、本質的には、大企業の目標達成のために下請け企業にしわ寄せが来るのは大企業のエゴと言われても仕方のないところです。
数年前の流行語にノミネートされた「トリクルダウン」（富裕層が富めば、貧困層にも富がしたたり落ちるとする経済理論）の効果は、いまやその旗振り役であった竹中平蔵氏も否定するほどです。民間企業任せでは中小企業の労働環境はなかなか良くならないのが現実で、今後具体的な施策が発表される政府の「働き方改革」で、どこまで踏み込むのかが注目されます。
